Permission to use, copy, modify, and/or distribute this software for any purpose with or without fee is hereby granted under the terms of this License Agreement, provided that the above copyright notice and this permission notice appear in all copies.
1. The term “tax exempt entity” as used in this License Agreement shall mean any entity that is registered as a not-for-profit organization and is qualified by the United States Internal Revenue Service as tax exempt under Internal Revenue Code 501(c)(3), (c)(4), (c)(5), or (c)(6).
2. Any user that is a tax exempt entity may use this software on a royalty-free, non-exclusive, worldwide basis during the term of this Agreement, for its internal purposes only, including for development, testing and production purposes.
3. Any user that is not a tax exempt entity may use this software on a royalty-free, non-exclusive, worldwide basis during the term of this Agreement for its internal purposes and for development and testing only, and not for production purposes.
3. Any user that is not a tax exempt entity may use this software on a non-exclusive, worldwide basis during the term of this Agreement, for production. However, any such user with annual revenues greater than One Hundred Million Dollars or with an enterprise value exceeding One Billion Dollars, shall pay to MemberJunction an annual license fee equal to the then current license fee published on the MemberJunction website, www.memberjunction.com/licensing.
THE SOFTWARE IS PROVIDED "AS IS" AND THE AUTHOR DISCLAIMS ALL WARRANTIES WITH REGARD TO THIS SOFTWARE INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS. IN NO EVENT SHALL THE AUTHOR BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THIS SOFTWARE.
MemberJunction Licensing Costs
MemberJunction is pleased to provide most not-for-profit organizations with a completely free license.
For groups that do not fall into this category, development and testing licenses are 100% free, and we only charge for production licenses.
Licensing Overview:
MemberJunction is licensed on a per-production database basis. This means that each production database within your SQL Server instance incurs an annual fee. The licensing cost structure is designed to scale with your organization as you expand your use of the platform.
Annual Licensing Fee:
• Per-Production Database License: $10,000 per year
The fee is calculated based on the number of production databases you utilize within your environment.
When Is the License Fee Due?
The license fee is due upon the first use of each production database in a production environment. Licensees are responsible for ensuring that all applicable fees are promptly reported and remitted annually on the anniversary of the initial production use.
Volume Discounts and Enterprise-Wide Licenses:
For organizations with multiple production databases or those looking for broader licensing solutions, we offer:
• Volume Discounts: Discounts are available based on the number of production databases licensed. Please contact us to discuss pricing tailored to your needs.
• Enterprise-Wide Licenses: For larger organizations, an enterprise-wide license may offer a more cost-effective solution. Contact our sales team for further details.

Payment Remittance:
Licensees must remit payment for license fees to our finance team at accounting@bluecypress.io. Please ensure that your payment includes your organization name and the number of production databases in use. Timely and accurate reporting of your usage is critical to maintaining your license in good standing.
